These terms govern quotations, samples, production orders and website use between Our Paint Addictions ("we", "us") and the business customer ("you"). By placing an order or accepting a quotation, you agree to them. If you need different terms, raise it before the order is confirmed — we would rather agree in writing than argue later.

1. Quotations

Quotations are valid for 30 days unless stated otherwise. Prices are in US dollars and, unless explicitly stated, are FOB Qingdao and exclude freight, insurance, duties, taxes, bank charges and any third-party inspection fees. Quotations are based on the specification we have agreed in writing; changes to size, colour count, packaging or quantity may change the price and lead time.

2. Orders and payment

• Production begins after we receive your written approval of the artwork and the deposit.
• Standard terms: 30% deposit by T/T on order confirmation, 70% balance against the pre-shipment inspection report before dispatch.
• Samples and small orders are paid in full in advance, by PayPal or bank transfer.
• Bank charges are borne by the payer. Payments must be made to the company account named on the proforma invoice.
• Late payment may delay shipment; storage costs after 14 days of readiness may be charged at cost.

3. Artwork, samples and approvals

You are responsible for approving artwork, colour mapping, packaging layout, labels and barcodes before production. Digital mockups are provided free of charge with two revision rounds. Once you approve a proof in writing, it becomes the specification against which goods are produced and inspected. Small colour variation between screen proofs, printed proofs and production batches is inherent to printing and paint manufacturing and is not a defect within normal tolerance.

4. Intellectual property

You confirm that you own or are licensed to use any artwork, photo, logo or trademark you send us, including the right to reproduce it as a paint by numbers kit. You indemnify us against third-party claims arising from material you supplied. We retain ownership of our stock designs, our design process and our packaging templates; private label and OEM customers receive a licence to sell finished kits bearing their brand, and we will not resell their artwork. We may photograph finished production for our own portfolio only with your written permission.

5. Minimum order quantities and tooling

MOQ applies per design per order and is stated in the quotation: 50 kits for stock designs, 100 kits for private label, OEM and custom packaging. Packaging is digitally printed, so no plates or dies are charged on standard boxes. Where bespoke tooling is required (rigid boxes, custom tin sizes, engraved brush handles), tooling cost and ownership are confirmed in writing before production.

6. Lead times and delivery

Lead times are counted in working days from artwork approval and deposit receipt, excluding Chinese public holidays. Delivery dates are good-faith estimates; carrier and customs delays are outside our control. Risk passes according to the agreed Incoterm (FOB Qingdao unless stated otherwise). Where goods are delayed by more than 15 working days for reasons within our control, we will agree a revised date and, for orders above 1,000 kits, a discount or partial refund in writing.

7. Inspection, defects and claims

Every shipment is subject to a count and photo record, and a pre-shipment inspection report is issued for orders above 300 kits. You or your agent may inspect before dispatch. Claims for shortage, damage or specification mismatch must be notified within 7 days of delivery with photographs and the packing list. Verified defects are repaired, replaced in your next run, or credited. Our aggregate liability for defective goods is limited to the invoiced value of the affected goods.

8. Cancellation and returns

Orders may be cancelled before printing begins; the deposit covers materials and setup already committed. Custom and branded goods that match the approved specification cannot be returned. Where a defect rate exceeds 2% of a shipment, we will replace the affected units or refund their value at your choice.

9. Compliance and product safety

Our kits use water-based acrylic paints and synthetic brushes. We supply material and safety declarations on request and apply the labels you provide for your market (for example CE/UKCA-related producer details, GPSR importer information, choking-hazard warnings and barcodes). You are responsible for confirming that the finished product, including packaging text and age labelling, complies with the law in your selling market.

10. Website use

Content on this website — text, photography, design files and product specifications — is our property or used with permission. You may quote or reference it with attribution and a link, but you may not copy substantial portions for commercial use, or scrape the site to build a competing catalogue. Prices and specifications shown on the site are indicative and do not constitute a binding offer.

11. Confidentiality

Each party will keep the other's confidential information confidential, including artwork, pricing, customer lists and production methods. We sign NDAs on request. This obligation continues after the commercial relationship ends.

12. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control, including natural disasters, epidemics, government action, port closures, power or material shortages. The affected party will notify the other promptly and the timeline will be extended accordingly.

13. Governing law

These terms are governed by the laws of the People's Republic of China. The parties will first attempt to resolve disputes amicably within 30 days; failing that, disputes are submitted to the competent court in Qingdao, Shandong. Where a mandatory consumer-protection rule in your jurisdiction applies, nothing in these terms limits your statutory rights.
